The Consolidated Financial Statement presenting operational results of the Capital Group in quarter III, 2010 was positively received by the shareholders. Reorganization of the company and resignation from the least profitable business allowed for a large reduction of operational costs of the Group. “I am positively assessing results of the implemented changes, however, the financial results related to the actions taken will only be visible at the end of the year. - The Mediatel Capital Group took a decision to introduce changes into the area of the business customers market. Modification of the previous strategy of the Group resulted in the sale of Mediatel 4B to Aster Sp. z o.o., a telecommunications operator, offering TV access, broadband internet and fixed and mobile telephony services. Continuation of providing telecommunications services for the existing customers by the Capital Group, during next 2 years, is one of the elements of the agreement.In the last quarter, the Capital Group also made a 50% reduction of employment and changed the management structure of the companies included in the Group. The increase of the Group operational flexibility and dynamics was the objective of the reorganization.At the same time, as a result of the introduced changes, the Mediatel Capital Group operations will be concentrated on introduction of the non-brand operator strategy. The Mediatel Capital Group will focus their activities on the wholesale market, and especially, on the international wholesale traffic termination and on technological support for other subjects with respect to telecommunications services. The increase of operational efficiency and concentration on the priority one areas will have a positive impact on the company’s results in the following months.
- The Extraordinary General Meeting of MediaTel S.A.

An Extraordinary General Meeting of MediaTel S.A. was held. Approval of changes in the By-laws of the Supervisory Board and of the General Meeting of Shareholders was the reason for convening this meeting. The approved regulations are meant to improve functioning of the bodies of the company being under restructuring. The introduced organizational changes, leading to cost reductions were positively assessed by the shareholders.Moreover, Marcin Kubit’s appointment to the position of the Secretary of the Supervisory Board of Mediatel S.A. was approved during the meeting. Marcin Kubit will be using his knowledge and experience gained while being the President of the Management Board of MediaTel S.A. in the years 2008-2010.Mirosław Janisiewicz, the President of the Management Board of MediaTel S.A. and main shareholder of NFI Magna Polonia is satisfied with the direction of changes in the company. “The results of the actions taken will already be visible in quarter III. Risk mitigation, revenue increase and formulation of development strategy – these are the main directions of changes in the company” – said Mirosław Janisiewicz.

Today the composition of the Management Board has changed. Mr Marcin Kubit filed his resignation from the position of the President of the Management Board, at the same time Ms Iwona Rytel filed her resignation from the position of a Member of the Management Board. They both are remaining in the Company. Mr Marcin Kubit shall use his knowledge and experience at the position of a Member of the Supervisory Board of Mediatel S.A. and Iwona Rytel shall continue her professional career as the position of the Chief Financial Officer of the Company. As a result of the said changes, the position of the President of the Management Board was taken over by Mirosław Janisiewicz, who through Rasting Limited holds indirectly the largest block of shares of Mediatel S.A. - All the calls generated between the users of FreecoNet are free of charge, calls to numbers not registered on the platform are redirected to TelArena - that is the operators exchange where independent suppliers of telecommunications services compete for operating a given call. The automated system selects the best price rate, therefore the cheapest option gets selected. Mediatel, because of its particularly attractive prices for international calls, shall contribute to the toughening of the price competition between the operators in this segment.
